TERMS AND CONDITIONS

THIS AGREEMENT governs the disclosure of information by and between the1000 Pip Club and student as of (insert today’s date).  The following terms all refer to the 1000 Pip Club and/or its principals; “Discloser”, “we”, “our”.  Further, the terms “student”, “applicant”, “recipient”, and “member” all refer to the person applying for membership in the 1000 Pip Club and for acceptance into the 1000 Pip Club Training Program. 

1. Acknowledgement and Use of Confidential Information. The 1000 Pip Club and its content is a proprietary system developed by Jeff Langin over an extended multi-year period and that all of the materials covered in the online training are protected by trademark and copyright laws and that strict confidentiality of all information, materials and methods learned through his/her membership in the 1000 Pip is to be maintained unless expressed written authorization is provided by Jeff Langin, otherwise allowing distribution of said materials or information. 

Any redistribution or reproduction of part or all of the contents in any form is prohibited other than the following:  you may print or download to a local hard disk extracts for your personal and non-commercial use only.

You may not, except with our express written permission, distribute or commercially or personally exploit the content. Nor may you transmit it or store it in any other website or other form of electronic retrieval system.

2. Residual Knowledge. Recipient may enhance its knowledge and experience retained in intangible form as a result of viewing Discloser's Confidential Information. Discloser shall not have any rights in such knowledge, experience or intellectual property nor any rights to compensation related to the Recipient use of such knowledge, experience or intellectual property with the following exception:   Recipient shall not have any rights to compensation related to the Recipient use of such knowledge, experience or intellectual property with regards to subsequent business endeavors by the Recipient without express written consent of Discloser.

3. Term and Termination.   These Terms and Conditions are effective until terminated by the 1000 Pip Club.  The 1000 Pip Club may terminate these Terms and Conditions with respect to Recipient or any other third party without notice at any time for any reason. Upon termination all rights granted in these Terms and Conditions shall immediately cease to exist and you must promptly discontinue all use of the Materials and this Site and destroy all copies of the Materials downloaded by you. In addition, in the event that we determine, in our sole discretion, that you have breached any of our Terms and Conditions, we reserve the right to terminate student’s access to this Site and take any other action which we, in our sole discretion, deem to be appropriate. All terms that by their nature should survive termination of these Terms and Conditions will survive.

4. Warranties. Each party represents and warrants to the other party that (i) it has the requisite authority to enter into and perform this Agreement, (ii) this Agreement constitutes its legally binding obligation, enforceable in accordance with its terms, and (iii) its execution and performance under this Agreement, including its disclosure of Confidential Information to the Recipient, will not result in a breach of any obligation to any third party or infringe or otherwise violate any third party’s rights.

5. No Grant of Rights. The parties recognize and agree that nothing contained in this Agreement shall be construed as granting any property rights, by license or otherwise, to any Confidential Information of the other party disclosed pursuant to this Agreement, or to any invention or any patent, copyright, trademark, or other intellectual property right that has issued or that may issue, based on such Confidential Information. Neither party shall make, have made, use or sell for any purpose any product or other item using, incorporating or derived from any Confidential Information of the other party.

6. Equitable Remedies. Recipient acknowledges that Recipient’s breach of this Agreement may cause irreparable harm to Discloser for which Discloser is entitled to seek injunctive or other equitable relief as well as monetary damages.

7. Confidentiality and Proprietary Information. The 1000 Pip Club proprietary information and trading methods. User shall keep confidential and shall not disclose, reproduce, retransmit, disseminate, sell, publish, broadcast, circulate, post, distribute, copy, disassemble, or create derivative works from the 1000 Pip Club Training Program in any manner.

8. Trademark. 1000 Pip Club is a trademark pending registration by Jeff Langin.  Federal Law prohibits the unauthorized use of this trademark.   Money Back Policy

9. Assignment. Neither party may transfer or assign this Agreement to any other person or entity, whether by operation of law or otherwise, without the prior written consent of the other. Any such attempted assignment shall be void and of no effect.

10.  Enforcement.  This Agreement shall be governed by, enforced under, and construed and interpreted in accordance with, the laws without reference to conflict of laws principles. Each party consents to venue and personal jurisdiction selected by the 1000 Pip Club.

11. Validity. If any provision of this Agreement is found by a proper authority to be unenforceable or invalid such unenforceability or invalidity shall not render this Agreement unenforceable or invalid as a whole and in such event, such provision shall be changed and interpreted so as to best accomplish the objectives of such unenforceable or invalid provision within the limits of applicable law.

12.  Miscellaneous. The Agreement is the complete and exclusive agreement regarding the disclosure of Confidential Information between the parties, and replaces any prior oral or written communications between the parties regarding Confidential Information. This Agreement may be signed in multiple copies, each of which shall constitute the same instrument. Once completely executed, any reproduction of this Agreement made by reliable means shall be considered an original.

The above Terms and Conditions of Above Service Non-Disclosure / New User Agreement constitutes the entire and only agreement between User and the 1000 Pip Club on the matters described.

IN WITNESS WHEREOF, the parties hereto have caused this Mutual Non-Disclosure / New User Agreement to be executed as of the Effective Date.
